Introduction

Welcome to Mosaic Ridge Digital. These Terms of Service ("Terms") govern your access to and use of the Mosaic Ridge Digital website, products, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

Please read these Terms carefully before using our Services. If you do not agree to these Terms, you may not access or use the Services. If you are accessing and using the Services on behalf of a company, entity, or organization (collectively "Organization"), then you represent and warrant that you:

are an authorized representative of that Organization with the authority to bind that Organization to these Terms
agree to these Terms on behalf of that Organization

Definitions

Throughout these Terms, we may use certain capitalized terms. These terms have the following meanings:

"Content" means any text, graphics, images, music, software, audio, video, information, or other materials that are displayed, generated, linked to, or otherwise made accessible through the Services.
"User Content" means any Content that users of the Services (including you) provide to be made available through the Services.
"Mosaic Ridge Digital Content" means Content that we make available through the Services, including any Content licensed from a third party, but excluding User Content.
"User" means any person or entity that uses the Services.

Account Registration and Requirements

To access certain features of the Services, you may be required to register for an account. When you register for an account, you agree to provide accurate, current, and complete information about yourself as prompted by the registration form and to maintain and promptly update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities or actions. You must notify us immediately of any breach of security or unauthorized use of your account.

To use the Services, you must be at least 16 years of age. By using the Services, you represent and warrant that you meet this requirement.

License and Service Use

Subject to your compliance with these Terms, Mosaic Ridge Digital grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal or internal business purposes. This license does not include any resale or commercial use of the Services or any derivative use of the Services.

All rights, title, and interest in and to the Services and its Content, including all intellectual property rights therein, will remain with Mosaic Ridge Digital and its licensors. Nothing in these Terms grants you a right to use the Mosaic Ridge Digital name, trademarks, logos, domain names, or other distinctive brand features.

You may not:

Copy, modify, or create derivative works based on the Services or its Content
Distribute, transmit, display, perform, reproduce, broadcast, or otherwise exploit the Services or its Content
Remove or alter any copyright, trademark, or other proprietary rights notices contained in the Services or its Content
Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of the Services or any part thereof
Use the Services in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Services

User Content

The Services may allow you to create, post, store, and share User Content. You retain all rights in and to your User Content, as between you and Mosaic Ridge Digital. However, by creating, posting, storing, or sharing User Content on or through the Services, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content in any and all media or distribution methods now known or later developed.

You represent and warrant that:

You own or have the necessary rights to use and authorize the use of your User Content as described in these Terms
Your User Content does not violate, misappropriate, or infringe on the rights of any third party, including intellectual property rights, privacy rights, or publicity rights
Your User Content does not contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable

We reserve the right to remove any User Content from the Services at any time and for any reason without notice.

Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

Illegal Activities: Using the Services for any illegal purpose or in violation of any local, state, national, or international law.
Harmful Activities: Engaging in any activity that is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable.
Security Violations: Violating or attempting to violate any security features of the Services, including attempting to access another user's account or any content that you are not authorized to access.
Service Interference: Interfering with the proper functioning of the Services, including by uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code.
Data Mining: Engaging in any automated use of the Services, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
Impersonation: Impersonating another person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
Intellectual Property Infringement: Infringing the intellectual property rights, privacy rights, or any other rights of any third party.

Payment Terms

Certain aspects of the Services may be provided for a fee. If you elect to use paid aspects of the Services, you agree to pay us the applicable fees and any taxes associated with your use of the Services. All payments are non-refundable except as expressly set forth in these Terms or as required by applicable law.

We may change the fees for the Services at any time. If we increase the fees for the Services, we will provide you with notice of the fee change and the opportunity to accept the changed fees. If you do not accept the fee change, we may discontinue providing the Services to you.

You authorize us to charge the payment method you provide to us for all applicable fees. If your payment method fails or your account is past due, we may collect fees using other collection mechanisms. Your obligation to pay fees continues through the end of the subscription period during which you cancel your subscription.

Termination

We may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease, and you must cease all use of the Services and delete any copies of the Services that you have made.

You may terminate your account at any time by contacting us at support@mosaicridgedigital.com. If you terminate your account, you will remain obligated to pay all outstanding fees, if any, incurred prior to termination relating to your use of the Services.

The following provisions of these Terms will survive termination: License and Service Use, User Content, Prohibited Conduct, Payment Terms, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution.

Disclaimer of Warranties

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WHILE MOSAIC RIDGE DIGITAL ATTEMPTS TO MAKE YOUR ACCESS TO AND USE OF THE SERVICES SAFE, WE CANNOT AND DO NOT REPRESENT OR WARRANT THAT THE SERVICES OR ITS CONTENT ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ASSUME THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SERVICES.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOSAIC RIDGE DIGITAL AND ITS OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES
ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
ANY CONTENT OBTAINED FROM THE SERVICES
UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT WILL MOSAIC RIDGE DIGITAL'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO MOSAIC RIDGE DIGITAL FOR THE SERVICES, IF ANY, DURING THE LAST 12 MONTHS.

Indemnification

You agree to indemnify, defend, and hold harmless Mosaic Ridge Digital and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from:

Your violation of these Terms
Your violation of any rights of any other person or entity
Your User Content

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

Governing Law

These Terms and any action related thereto will be governed by the laws of the State of California without regard to its conflict of law provisions. The exclusive jurisdiction and venue of any action with respect to the subject matter of these Terms will be the state and federal courts located in San Francisco County, California, and you waive any objection to jurisdiction and venue in such courts.

Dispute Resolution

For any dispute you have with Mosaic Ridge Digital, you agree to first contact us and attempt to resolve the dispute informally. If Mosaic Ridge Digital has not been able to resolve the dispute with you informally, we each agree to resolve any claim, dispute, or controversy arising out of or in connection with or relating to these Terms, or the breach or alleged breach thereof, through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

The arbitration will be conducted in San Francisco, California, unless you and Mosaic Ridge Digital agree otherwise. Each party will be responsible for paying any filing, administrative, and arbitrator fees in accordance with the rules of the American Arbitration Association.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, we each waive any right to a jury trial.

Changes to Terms

We may revise these Terms from time to time. The most current version will always be posted on our website. If a revision, in our sole discretion, is material, we will notify you via email to the email address associated with your account or through the Services. By continuing to access or use the Services after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Services.

Entire Agreement

These Terms, including the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Mosaic Ridge Digital concerning the Services. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Mosaic Ridge Digital's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
